These Terms of Service ("Terms") govern your access to and use of the Alverium desktop application, website, plugin marketplace, cloud services, and related products (collectively, the "Service") provided by Alverium, Inc. ("Company," "we," "our," or "us").
By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding agreement in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements.
You further represent that you are not located in, ordinarily resident in, or organised under the laws of any jurisdiction subject to comprehensive sanctions administered by the United States, the United Kingdom, or the European Union; that you are not a person with whom dealings are prohibited under applicable sanctions laws; and that you are not acting on behalf of any such person. We may restrict or refuse access on this basis, and we may withdraw availability of the Service, or of particular features, in any jurisdiction. Availability of a feature or a market inside the Service is not a representation that you are permitted to use it where you are.
2. Account Registration
Certain features of the Service require account registration. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activity under your account
3. Service Description
Alverium is a local-first desktop workstation for market research, analysis, and — where you enable it — execution. The Service comprises:
- Market data, analytics and research tools across multiple asset classes, including equities, foreign exchange, listed futures, commodities, options, fixed income, spot crypto-assets, decentralised finance, and prediction markets. Coverage varies by asset class, by venue, and by your subscription tier.
- Connections to third-party brokers, exchanges, and protocols that you select and authorise with your own credentials.
- Strategy development, backtesting and simulation.
- A plugin marketplace for first-party and third-party extensions.
- Alverium Sage, an AI assistant that runs on your device by default, with an optional managed cloud path.
- Cloud services for model training and account synchronisation, where you enable them.
- Publishing and social features, including the ability to publish plugins, and — where offered — to offer or subscribe to third-party trading signals and strategies.
- Alverium Veil, an on-chain naming and identity protocol, together with its off-chain services.
Not every component described here is generally available. Features ship progressively and some are limited by tier, by jurisdiction, or by whether a required third-party service is reachable. Where a feature is not available to you, it is not offered to you.
§3.1 — Alverium Veil. Veil is an on-chain protocol. Where these Terms govern your use of Alverium's services relating to Veil — our website, our resolution and query surfaces, our marketplace venue, and any transaction-relaying we provide — they do not and cannot govern the underlying protocol itself, which operates on a public blockchain that we do not control. Sections 7, 11 and 14 are scoped accordingly. Veil is not generally available, and nothing in these Terms constitutes an offer of it.
4. No Financial Advice
Alverium is a software tool, not a financial adviser. The Service does not provide investment advice, financial advice, trading advice, or any other sort of advice. Nothing in the Service — including analytics, scores, signals, regime classifications, playbook narratives, and any output of Alverium Sage — should be construed as a recommendation to buy, sell, or hold any financial instrument. All trading decisions are made solely by you.
We do not manage your funds, execute trades on your behalf except as you direct through the software, or have access to your accounts at third-party venues. You are solely responsible for your trading decisions and their consequences.
Third-party content is not ours. Where the Service surfaces strategies, signals, commentary or track records published by other users, we do not endorse, verify, guarantee, or take responsibility for them. Performance information published by a third party is self-reported. See §7.4.
5. Subscription Plans
The Service is offered under Community, Plus, Pro, and Max tiers. Community is free. Details of each tier's features, limits, and pricing — including the number of devices on which you may activate a licence, which varies by tier — are published at https://alverium.net/pricing and are incorporated into these Terms by reference.
- Automatic renewal: Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
- Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial periods.
- Price changes: We may adjust subscription pricing with 30 days' advance notice. Continued use after the effective date constitutes acceptance of the new pricing.
6. Exchange, Broker and Protocol Connections
Alverium connects to third-party exchanges, brokers, and decentralised protocols via their interfaces. The Company:
- Does not control, operate, or guarantee the availability of any third party
- Is not responsible for third-party downtime, interface changes, or order-execution failures
- Does not have access to your exchange API keys or private keys — they are stored locally on your device
- Does not execute trades unless you instruct the software to do so
Where a third-party service is offered inside the Service — including any service for converting between currencies or funding an account — it is provided by that third party under their terms and their regulatory permissions, not ours. We are not a party to that relationship.
You are responsible for compliance with the terms of any venue or protocol you connect to.
7. Marketplace, Plugins and Published Content
7.1 — Plugins
The plugin marketplace allows first-party and third-party developers to distribute plugins. The Company:
- Applies automated and manual checks to submissions before listing, including signature verification and policy screening. These checks reduce risk; they are not a security audit or a warranty, and a listed plugin is not a plugin we vouch for.
- Does not guarantee the functionality, accuracy, or suitability of any third-party plugin
- May remove or delist plugins that violate marketplace policies
Plugins run at one of three privilege levels — sandboxed, elevated, or system — and the level a plugin may request is bounded by your subscription tier. Elevated and system privileges require explicit permission from you.
Use of third-party plugins is at your own risk. The Company is not liable for loss or damage caused by third-party plugins.
7.2 — What you receive when you obtain a plugin
Where you obtain a plugin, whether free or paid:
- You receive a non-exclusive, non-transferable licence to use it within the Service, on the devices your subscription tier permits, for as long as your account is in good standing.
- You do not receive source code, rights of resale, rights of redistribution, or any right to use it outside the Service.
- If a plugin is removed from the marketplace, plugins already installed on your device continue to function to the extent they do not depend on our services; you will not receive further updates, and you may not be able to reinstall it. Where a plugin is removed because it is unsafe, we may disable it.
- If a publisher departs, the licence you hold is unaffected, but support and updates end.
7.3 — Publishing and platform fees
If you publish through the marketplace, additional publisher terms apply, including payout timing, tax handling, and eligibility. Those terms are published at https://alverium.net/publishers and are incorporated by reference.
Platform fee on paid plugin sales. Where you sell a paid plugin, we retain a platform fee and pay you the balance. The fee depends on your own subscription tier, not on the buyer's:
| Your subscription tier | You keep | Platform fee |
|---|---|---|
| Community | — | Paid publishing is not available on this tier |
| Plus | 70% | 30% |
| Pro | 75% | 25% |
| Max | 80% | 20% |
The tier applied is the one active on your publisher account at the time of the sale. Payment-processing costs charged by our payment provider are deducted before the split.
Other publishing programmes carry different terms. Where the Service offers a programme other than plugin distribution — including any programme for offering trading signals or strategies to other users — its revenue terms are set out in that programme's own terms and are not the schedule above.
We may change fees with 30 days' notice. A change does not apply to a sale made before it takes effect.
7.4 — Signals, strategies and performance information
Where the Service permits users to publish trading signals, strategies, or performance histories, and where it permits other users to subscribe to or follow them:
- The publisher, not Alverium, is responsible for what they publish and for holding any authorisation their activity requires in their jurisdiction and yours.
- Performance information is self-reported. Where the Service displays a consistency check on published performance, that check establishes only that a computation ran over data the publisher supplied. It does not verify that the data is complete, representative, or honest, and it cannot detect selective reporting.
- We do not describe any published track record as verified, audited, guaranteed, or proven, and you should not read our display of one as an endorsement.
- Following or copying another user's activity is a decision you make. See the Risk Disclaimer.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR:
- Any trading losses, whether caused by software errors, third-party interface failures, network issues, or any other reason
- Loss of profits, data, or business opportunities
- Indirect, incidental, special, consequential, or punitive damages
THE COMPANY'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any statutory rights you have as a consumer.
9. Assumption of Risk
You acknowledge and agree that:
- Trading financial instruments and crypto-assets carries significant risk of loss
- Past performance is not indicative of future results
- You may lose some or all of your invested capital, and in leveraged or margined positions you may lose more than you deposited
- The Company does not guarantee the accuracy of market data, signals, or analytics provided by the Service
- You are solely responsible for managing your risk exposure
The Risk Disclaimer forms part of these Terms and sets out these risks in detail, including risks specific to futures delivery, options assignment, tokenized instruments, crypto-assets, and prediction markets. You should read it before enabling any live trading feature.
10. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to reverse-engineer, decompile, or disassemble the Service
- Distribute, sublicense, or share your account credentials
- Use the Service to manipulate markets or engage in prohibited trading practices
- Circumvent technical restrictions, rate limits, safety controls, or security measures
- Use automated tools to scrape or extract data from the Service beyond normal usage
- Use the Service in violation of applicable sanctions or export-control laws
11. Intellectual Property and Licence
The Service, including all software, documentation, designs, and branding, is the intellectual property of Alverium, Inc. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the Service.
§11.1 — Scope of this licence. The licence granted in this section covers the Service — our software, our website, and our cloud offerings. It does not purport to license, and its non-transferability does not apply to:
- Assets recorded on a public blockchain, including any name or on-chain record you hold. We do not grant those to you, we do not license them to you, and we cannot make them non-transferable. Where you hold such an asset, it is yours to transfer, and no term of this agreement restricts that.
- Third-party plugins, which are licensed to you by their publishers.
- Open-source components, which are governed by their own licences.
12. Trademarks & Patents
Trademarks. "Alverium," "Alverium Sage," "Alverium Veil," and "Alverium Vessel," together with the Alverium logo and any associated names, marks, slogans, and trade dress (the "Alverium Marks"), are trademarks of Alverium, Inc., whether or not they appear with a trademark symbol. Nothing in these Terms or in your use of the Service grants you any right or licence to use the Alverium Marks. You may not use, reproduce, or register the Alverium Marks, or any confusingly similar mark, without our prior written consent, and you may not use them in any manner that is likely to cause confusion or that suggests our sponsorship or endorsement.
Patents. The Service and the technology underlying it are protected by intellectual property rights that may include one or more issued patents and pending patent applications (patents pending). Except for the limited right to use the Service granted in these Terms, no licence to any patent is granted to you, whether by implication, estoppel, or otherwise.
Reservation of rights. All rights not expressly granted to you in these Terms are reserved by Alverium, Inc. and its licensors.
Third-party marks. Product names, logos, and trademarks of third parties (including exchanges, brokers, blockchains, and other services) that appear in or through the Service are the property of their respective owners. They are used for identification and interoperability only, and their appearance does not imply any affiliation with, or endorsement by, those third parties.
13. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your data — and which explains the categories of data that, once published to a public blockchain, nobody can erase or amend, including us.
14. Suspension and Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination:
- Your licence to use the Service is revoked, and you must cease using it and delete copies of our software
- Your access to our cloud services, marketplace, and support ends
- Data stored on your local machine remains yours to manage
§14.1 — What termination does not reach. Termination of your account ends your relationship with us. It does not, and cannot:
- Affect any asset recorded on a public blockchain that you hold. We have no ability to take, freeze, redirect, reverse, or delete it, and terminating your account does not change who holds it.
- Affect your accounts, positions, or funds at third-party brokers, exchanges, or protocols. Those relationships are yours and are governed by their terms.
- Affect a licence granted to you by a third-party plugin publisher, except to the extent it depends on our services.
You may terminate at any time by cancelling your subscription and ceasing to use the Service.
15. Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of England and Wales.
If you are a consumer, this choice of law does not deprive you of the protection afforded by provisions that cannot be derogated from under the law of your country of habitual residence, and you may have the right to bring proceedings there.
16. Changes to These Terms
We may modify these Terms at any time by posting the updated version to this page. Material changes will be communicated via email or in-app notification at least 30 days before taking effect, and where the change is material we will ask you to accept the updated Terms. Your continued use of the Service after changes take effect constitutes acceptance.
Non-material changes — corrections, clarifications, and formatting — take effect on posting. The Last Updated date at the top of this document reflects the most recent change of any kind.
